Member Agreement

The Service is provided at no cost to the Member. To maximize the return on investment and to provide the Service to as many Members as possible, CIS requires the Member participating in the Service to acknowledge and agree to the following:

1. The Member may terminate their participation in the Service by sending an email to [email protected] at least five (5) business days before the beginning of the Service. 
2. The Member may request to reschedule a meeting by sending an email to [email protected] at least five (5) business days before the scheduled meeting; otherwise, the Service Provider will have sole discretion to reschedule or cancel the meeting. 
3. The Member must allocate all resources necessary to attend meetings and complete tasks required to ensure a successful outcome of the Service; otherwise, CIS will have sole discretion to terminate the Service. 
4. The Member must agree to Kroll’s Flow Down Terms as set forth here.  Acceptance of such Flow Down Terms shall constitute an agreement between Member and Kroll only, CIS shall not be a party to such an agreement. 
5. CIS and the Service Provider make no warranty, express or implied, to the Member regarding the Service.  Any decisions made or actions taken by the Member as a result of participation in this Service are made solely at the Member’s discretion.  CIS and the Service Provider shall have no liability for any such actions and decisions. 
6. CIS agrees that it shall not share any Member data outside CIS, except with the Service Provider as necessary to perform its obligations hereunder.  Notwithstanding the foregoing, CIS shall be permitted to utilize anonymized and aggregated Member data for internal business purposes and external reporting requirements.
