CIS Threat Aware Reports Subscription Agreement

This Subscription Agreement (“Agreement”) is between Center for Internet Security, Inc. (“CIS”), located at 31 Tech Valley Drive, East Greenbush, NY 12061-4134, and Subscriber.

By purchasing this subscription for the CIS Threat Aware Reports (“Reports”), Subscriber acknowledges and agrees to the following terms and conditions:

1. Subscription. Subject to Subscriber’s payment of applicable fees and compliance with the terms and conditions of this Agreement, CIS will send a PDF file of each Report to the email address provided by Subscriber on a regular basis.
2. License. CIS grants the following licenses as applicable:
   1. Organization Only Subscription. CIS grants Subscriber the right to download, print, and reproduce the Reports for Subscriber’s internal use only, on a limited, non-exclusive, revocable, non-sublicensable, and non-transferable basis.
   2. Association Subscription. CIS grants Subscriber the right to download, print, and reproduce the Reports for Subscriber’s and Subscriber’s members’ internal use only, on a limited, non-exclusive, revocable, non-sublicensable, and non-transferable basis
3. Ownership of Intellectual Property. CIS owns the copyright and all other rights, title, and interest in and to the Reports. Subscriber is not permitted to modify or alter the content of the Reports, and Subscriber is required to display the disclaimer and copyright notice on the Reports intact and unaltered.
4. Restrictions on Use. Subscriber may not offer the Reports for sale or license to any other individual or organization. The Reports may not be printed, copied, posted, published, converted into any other file or transmitted in any way, whether electronically or otherwise, except as permitted above, or used to create other works based on it, without prior written consent from CIS.
5. No Warranty or Liability. All content of the Reports is provided “as is” without any warranty of any kind, either express or implied. CIS will have no liability for Subscriber’s use of or reliance on the content of the Reports.

6. Fee and Payment. Subscriber will pay the applicable monthly or annual subscription fee as described below:

   1. Monthly Subscription. By purchasing a monthly subscription, Subscriber will pay an initial and recurring monthly subscription fee at the then-current monthly subscription rate. Subscriber accepts responsibility for all recurring charges until Subscriber cancels the subscription. Subscriber may cancel the monthly subscription at any time.
   2. Annual Subscription. By purchasing an annual subscription, Subscriber will pay an initial pre-payment of one full year of service. After one year and annually thereafter, Subscriber will be billed a recurring annual subscription renewal fee at the then-current annual subscription rate. CIS will notify Subscriber before the renewal fee is billed. Subscriber may cancel the annual subscription at any time.
7. Term and Termination. The term of this Agreement will be for one month/year, as applicable, from the date Subscriber accepts the Agreement and will automatically renew thereafter. Either party may terminate this Agreement by giving the other party thirty (30) days prior written notice. CIS may terminate this Agreement effective immediately if Subscriber fails to comply with the terms of this Agreement.
8. Assignment. CIS may assign this Agreement without prior written consent.
9. Applicable Law. This Agreement will be governed and construed in accordance with the laws of the State of New York without regard to its conflict of law provisions. Any disputes related to this Agreement shall be brought in the federal or state courts located in New York.

By accepting this Agreement, Subscriber certifies that Subscriber has read and agrees to comply with the above terms and conditions and that Subscriber is authorized to sign on behalf of Subscriber’s organization
